Shareholders of Georg Fischer Elect a New Member to the Board

At the 118th Annual Shareholders’ Meeting of Georg Fischer Ltd held on 19 March 2014 Hubert Achermann was elected as new member of the Board.

Elections to the Board of Directors

The nine current members of the Board of Directors were re-elected. Furthermore, Andreas Koopmann was confirmed as Chairman, and a new Compensation Committee was elected. Hubert Achermann (1951), attorney, was also elected as a new member of the Board of Directors. He held the position of CEO at KPMG Switzerland from 2004 until 2012. He has been a member of the Board of Directors of Implenia since 2013, where he holds the Chairmanship of the Audit Committee. He replaces Kurt E. Stirnemann, Georg Fischer CEO from 2003 to 2008 and a long-standing member of the Board of Directors, who has reached the retirement age for Board members at Georg Fischer.

Shareholders of Georg Fischer Ltd approve all Board proposals

At the event hall former iron foundry in Schaffhausen a total of 1 065 shareholders and 1 984 256 shareholder votes were present. This presence corresponds to 70.84 percent of the shareholder votes entered in the share register.

In its consultative vote, the Annual Shareholders’ Meeting approved the 2013 Compensation Report and the distribution of a dividend amounting to CHF 16 per share.

Based on the ordinance regarding excessive remuneration in listed companies, which entered into force on 1 January 2014, the Board of Directors proposed the partial revision of the Articles of Association to the 2014 Annual Shareholders’ Meeting. It included amongst others revisions of the Articles of Association regarding the representation of voting rights, the election of the members of the Board and the Compensation Committee as well as the limit of the number of mandats, which the members of the Board and the Executive Committee of Georg Fischer Ltd may hold at other companies. PricewaterhouseCoopers Ltd, Zurich, was re-elected as auditor for the year 2014.
