Shareholders of Georg Fischer Ltd Elect Two New Members to the Board

At the 116th Annual General Meeting of Georg Fischer Ltd on 21 March 2012, the shareholders voted in favor of all the proposals of the Board of Directors. Isabelle Welton and Roger Michaelis were elected as new members of the Board.

After many years of service, Board Chairman Martin Huber handed over his office to Andreas Koopmann.

A total of 1,269 shareholders representing 33.1 percent of the share capital were present or represented in the former iron foundry in Schaffhausen.

In its first consultative vote, the Annual General Meeting approved the 2011 Compensation Report and also endorsed the distribution of a dividend from capital contribution reserves amounting to CHF 15 per share. Furthermore, the shareholders voted in favor of all the proposed amendments to the Articles of Association. They approved the deletion of the possibility of granting exceptions to the registration of more than 5 percent of the shares. The term of office of Board members will now be three years instead of four. The Annual General Meeting also authorized the Board to create authorized capital for a further two years. PricewaterhouseCoopers AG, Zurich, was elected as the new auditor for a one-year term of office.

Martin Huber, Chairman of the Board, was delighted with the Corporation s good performance in 2011: "In the past year, Georg Fischer seized the opportunities, mastered the challenges, and is on track strategically."

Isabel Welton and Roger Michaelis elected as new Board members

The AGM confirmed Rudolf Huber for a further three-year term as a member of the Board. Isabelle Welton (born 1963) was elected to the Board as a new member. A lawyer by training and a Swiss citizen, she has been CEO and Country General Manager of IBM Switzerland since 2010. Roger Michaelis (born 1959) was also elected to the Board. He was born and grew up in Brazil and is a dual citizen of Brazil and Germany. An economist by training, he is currently CEO of Osram do Brasil and at the same time Head of Human Resources for Latin America. Isabelle Welton and Roger Michaelis replace Bruno Hug and Martin Huber, who have retired at the statutory age.

Changes at the top of the Board of Directors

Martin Huber s term of office as Chairman of the Board of Directors of Georg Fischer came to an end with the 2012 Annual General Meeting. The new Chairman is Andreas Koopmann, who joined the Board of Georg Fischer in 2010; the new Vice Chairman is Gerold Bührer. Martin Huber worked for over 30 years in various functions for Georg Fischer. The Board thanks Martin Huber for his many years of successful service on behalf of the Corporation.
